IN NO EVENT SHALL MOD PIZZA'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO MOD PIZZA IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth in this Section apply regardless of the theory of liability, whether based on warranty, contract, tort (including negligence), strict liability, or otherwise, and regardless of whether Mod Pizza has been informed of the possibility of such damages. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you to the extent prohibited by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Mod Pizza, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

Subject to the arbitration and dispute resolution provisions below, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the United States for the resolution of any disputes not subject to arbitration. You hereby waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

Nothing in these Terms shall limit Mod Pizza's right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

The parties will attempt to resolve the dispute informally within thirty (30) days of receipt of the written notice. If the dispute is not resolved within this period, either party may proceed to formal dispute resolution as set forth below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. Except for disputes that qualify for small claims court, and except as otherwise stated in these Terms, you and Mod Pizza agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Website, or our Services (including the validity, enforceability, or scope of this arbitration clause) shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org.

The arbitration shall be conducted in English, and the arbitrator's award shall be final and binding on the parties. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. The arbitrator shall apply these Terms and applicable United States law. The arbitrator has the authority to award any remedy that would be available in a court of law.

13.3 Class Action Waiver

YOU AND MOD PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION. Unless both you and Mod Pizza expressly agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

13.4 Jury Trial Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND MOD PIZZA WAIVE YOUR RESPECTIVE RIGHTS TO A TRIAL BY JURY FOR ANY CLAIM THAT PROCEEDS IN COURT RATHER THAN ARBITRATION.

13.5 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute through arbitration.

14. Term and Termination

14.1 Duration

These Terms remain in full force and effect while you use the Website or Services. Certain provisions of these Terms will survive termination, including but not limited to Sections 6 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 12 (Governing Law), and 13 (Dispute Resolution).

No waiver by Mod Pizza of any breach or default by you shall constitute a waiver of any subsequent breach or default.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies, guidelines, or rules posted on the Website and incorporated herein by reference, constitute the entire agreement between you and Mod Pizza with respect to your use of the Website and Services. These Terms supersede all prior and contemporaneous negotiations, discussions, agreements, representations, warranties, and understandings between you and Mod Pizza with respect to the subject matter hereof, whether written or oral.

19. Force Majeure

Mod Pizza shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, strikes or labor disputes, power outages, internet or network failures, fire, war, terrorism, civil unrest, or other events of force majeure. We will make commercially reasonable efforts to resume performance as soon as practicable following any force majeure event.
